Supplier Code of Conduct

1. 目的

PDG is committed to conducting its business in a lawful, honest and socially responsible manner。 We expect everyone we do business with to abide by similar principles。

This Supplier Code of Conduct (or "Code") sets out the basic requirements that we require Suppliers to comply with when conducting business with or on behalf of PDG。

2. Scope of application

"Supplier" shall include service providers, suppliers, manufacturers, agents, dealers, agents, consultants, contractors, subcontractors, joint venture partners and other parties that have business relations with PDG and sell any products or services to PDG。

This Supplier Code of Conduct applies to all suppliers worldwide and is to be adhered to by all suppliers worldwide。

Supplier shall also ensure that its officers, directors, employees, agents, subcontractors and other representatives comply with this Code。

3. 原则

Integrity of business

  • Anti-corruption bribery:
    • Supplier shall comply with all applicable domestic and foreign anti-bribery or anti-corruption laws and regulations, including but not limited to the Foreign Corrupt Practices Act of 1977 of the United States, the Bribery Act of 2010 of the United Kingdom, and the Prevention of Corruption Act (Cap 241) of Singapore。
    • Supplier shall not engage in corruption, bribery or anything that directly or indirectly facilitates the intention, payment, promise to pay or authorization to pay anything of value,This includes, but is not limited to, cash, checks, wire transfers, tangible and intangible gifts, benefits, services, and hospitality and travel expenses beyond reasonable, regular, moderate value,This includes not supplying such valuable goods to:
      • An executive officer, officer, officer, employee, or agent of a government department or agency;
      • (ii) a director, officer, employee or agent of a company or enterprise owned, partly owned or controlled by the Government。
      • Party or party officer, candidate or office, or

        • Affecting any act, decision or omission of a government official in his or her official capacity,

    • Supplier shall ensure that any monies (whether remunerative or otherwise) received by them from PDG are not used (including in part) for any purpose which may constitute a violation of law。
  • Gifts and hospitality:
    Supplier shall not accept/offer or offer to PDG employees any gifts or personal benefits (monetary or otherwise) that may be considered bribery on behalf of PDG。 Under no circumstances shall the acceptance or offering of gifts or hospitality unduly influence any business relationship or violate applicable legal or ethical standards。
  • Conflict of Interest:
    利益冲突是指“供应商”与 PDG 的任何员工有任何(财务、个人或其他方面)利益关系的情况; 这可能会损害 PDG 的利益。 This situation needs to be disclosed to PDG management。 If Supplier becomes aware of an actual or potential conflict of interest that may affect its work or cooperation with PDG, it shall immediately notify PDG and establish an appropriate mechanism to manage the conflict of interest situation as appropriate。
  • Fair play:
    PDG believes in a market system of free competition where performance, quality, price and other objective factors are the determining factors when conducting business:

    • PDG's "Suppliers" shall comply with applicable antitrust and competition laws and regulations and refrain from engaging in any unfair competition directly or through other entities or individuals。
    • "Suppliers" should compete honestly and fairly and never engage in anti-competitive practices, such as price-fixing or bid-rigging。 In addition, Supplier shall not enter into any agreement, formally or informally, to unlawfully restrict competition。
  • Anti-money laundering and Other Economic Crimes:
    PDG has zero tolerance for money laundering, terrorist financing and similar offences。

    • The "Supplier" shall comply with the relevant laws, rules and standards relating to money laundering and terrorist financing, within the meaning and spirit of these regulations。
    • The Supplier shall not engage in or be suspected of engaging in illegal or unethical activities。
  • Control of transaction:
    Supplier shall be aware of and comply with applicable import and export control, economic sanctions and anti-boycott laws and shall refrain from any activities which may be deemed illegal by itself, PDG, the Sanctions provisions or the law。These sanctions and laws by themselves or PDG。 In addition, the "supplier" shall not engage in any other restrictive trade practices。
  • Obligation of Confidentiality:
    • Supplier shall treat all information received/accessed by Supplier relating to PDG, its business, affiliates, projects, suppliers, customers and other third parties as confidential and shall not disclose such information without PDG's prior written consent。
    • Supplier shall take reasonable security measures to protect unauthorized or illegal access, use, disclosure, alteration, loss, damage and destruction of Confidential Information。
    • Supplier may process and disclose Confidential information acquired during its cooperation with PDG only when authorized and directed by PDG and when required by relevant laws and regulations。
    • When Supplier believes that it has been wrongly given access to Confidential Information, Supplier shall immediately notify PDG and shall not further disseminate this information。
  • Data protection:
    Supplier shall comply with all applicable data protection and information security laws and regulations。
  • Intellectual Property Rights:
    Supplier shall ensure that it does not infringe any intellectual property or copyright of PDG。
  • Insider Trading:
    Supplier shall not engage in or support insider trading。 In addition, Supplier shall not induce, suggest or otherwise engage in insider trading。
  • Financial control:
    Require "Supplier" to:

    • Maintain accurate, complete, fair, timely, transparent and easily understood financial and operational books, records and accounts, as well as effective internal records。
    • Create, retain and dispose of business records in accordance with applicable legal and contractual requirements。.
  • PDG Name and Brand:
    Supplier may not use the name of PDG, the logo of PDG, or the name or logo of any division, subsidiary or project of PDG or the trademarks and service marks of PDG without the prior written approval of PDG。

Responsible supply chain standards
PDG Responsible supply chain standards包含《联合国全球契约》中规定的人权、劳工权利和环境以及反腐败原则相关的标准——这些标准来源于《世界人权宣言》、《国际劳工组织关于工作中基本原则和权利宣言》、《里约环境与发展宣言》、《联合国反腐败公约》和《联合国工商企业与人权指导原则》等。

"Supplier" shall comply with PDG Responsible supply chain standards:

  • Law and Compliance:
    Supplier shall comply with all environmental, labor and anti-corruption laws and regulations in the country/region in which it operates, manufactures or conducts business。
  • 环境:
    Suppliers THAT HAVE A significant IMPACT ON THE ENVIRONMENT SHALL HAVE AN EFFECTIVE ENVIRONMENTAL POLICY AND/OR ENVIRONMENTAL MANAGEMENT SYSTEM THAT SUPPORTS ENVIRONMENTAL PROTECTION, pollution PREVENTION AND prudent MANAGEMENT OF THE USE OF NATURAL RESOURCES。 Suppliers shall reduce the impact of their products and services on the environment and communities, and make reasonable efforts to minimize energy use and GHG emissions in accordance with industry best practices and standards。
  • Voluntary Employment:
    Supplier shall not force, imprison, indenture, bond or otherwise engage in any form of involuntary labor。
  • Child labor is strictly prohibited:
    The "supplier" shall not employ children below the age specified in the ILO convention or in national law, whichever is higher。
  • Make no distinction:
    Supplier shall provide equal opportunities and promotion opportunities to all employees and shall not discriminate on the basis of age, color, (disability), ethnicity/race, sex, gender identity, marital status, pregnancy/birth, national origin, sexual orientation or religion。
  • Remuneration and Benefits:
    The "supplier" shall provide wages and benefits in accordance with relevant laws and in accordance with prevailing local practice。
  • Working Hours:
    The Supplier shall ensure that the normal working hours and overtime hours of its employees do not exceed the working hours prescribed by local law。
  • Freedom of association:
    Supplier shall recognize and respect the rights of its employees to freely associate and bargain collectively within applicable law。
  • Humanized treatment:
    Supplier shall treat employees with respect and dignity and provide a working environment free from harassment, intimidation and bullying。 The "supplier" shall protect employees who raise questions about their business practices。
  • Health and safety:
    The "Supplier" shall provide a safe and healthy working environment to prevent accidents and illnesses in the workplace。 This also applies to accommodation provided by the "supplier" to employees。

4. Communication and Supervision

  • We require Suppliers to take appropriate steps to communicate this Code to their officers, directors, employees, agents, subcontractors and other representatives。
  • The Supplier shall allow PDG to inspect compliance with this Code on request and as reasonably required by prior notice。
  • Supplier shall immediately notify PDG of any situation involving its officers, directors, employees, agents, subcontractors and other representatives that may affect Supplier's compliance with this Code。

5. In violation of the rules

If Supplier violates this Policy, PDG may require Supplier to correct within a specified period of time。 If Supplier fails to rectify the situation in a timely manner, PDG may terminate its current and future business relationship, including but not limited to canceling all existing orders between PDG and Supplier。 PDG shall be entitled to charge Supplier reasonable costs for investigating such breaches of the Code。
